Terms of Service

By downloading, installing, or using the Shopfloor mobile application ("App") operated by Sand Creek Technologies ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

If you are using the App on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Shopfloor is an equipment and asset tracking application designed for construction, welding, HVAC, and other trade professionals. The App allows users to:

• Scan and catalog equipment using AI-powered image recognition
• Track equipment locations across job sites, trucks, and warehouses
• Manage team access and equipment check-in/check-out
• View activity history and asset movement logs

To use Shopfloor, you must create an account by providing a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 13 years old to create an account. If you are under 18, you must have the consent of a parent or legal guardian.

Shopfloor is deployed through a custom setup process tailored to your organization. Access to the App and its features is determined during your onboarding. Contact team@sandcreektechnologies.com for details.

• Service terms, including any applicable fees, are established during your custom setup and may be outlined in a separate agreement.
• We reserve the right to modify service terms with 30 days advance notice. Continued use after a change constitutes acceptance.

You agree not to use Shopfloor to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to the App, other user accounts, or our systems
• Reverse engineer, decompile, or disassemble any part of the App
• Use automated scripts to collect data from or interact with the App
• Interfere with or disrupt the integrity or performance of the App

We reserve the right to suspend or terminate accounts that violate these terms.

You retain ownership of all data you enter into Shopfloor, including equipment information, photos, locations, and activity logs ("Your Data").

By using the App, you grant us a limited license to store, process, and transmit Your Data solely for the purpose of providing and improving the service. We will not sell, share, or use Your Data for advertising purposes.

When you use the AI scanning feature, equipment images are sent to our AI processing provider for analysis. These images are used solely for the purpose of identifying equipment and are not retained by the provider after processing.

If you create a company within Shopfloor and invite team members:

• You are responsible for managing team member access and roles
• Equipment data within a company is shared among all team members based on their assigned roles
• Removing a team member revokes their access to company data
• The company admin is responsible for ensuring team members comply with these Terms

The App, including its design, features, code, and branding, is owned by Sand Creek Technologies and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.

Shopfloor is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• AI scanning results will be 100% accurate — always verify important equipment details manually
• The App will meet your specific requirements or expectations

To the maximum extent permitted by law, Sand Creek Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or equipment, arising from your use of the App.

Our total liability for any claim related to the App shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless Sand Creek Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the App or violation of these Terms.

We may suspend or terminate your access to the App at any time for violation of these Terms or for any other reason at our discretion, with or without notice.

You may delete your account at any time through the App settings. Upon termination, your right to use the App ceases immediately. We will delete your data in accordance with our Privacy Policy.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the App or on our website. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
